By accessing or using the Service, you agree to be legally bound by these Terms. *** ## **Chapter 1. General Provisions** ### **Article 1 (Purpose)** These Terms of Service are intended to define, clarify, and legally establish the rights, obligations, responsibilities, and conditions governing the relationship between the Company and users of the Poremi platform (the “Members” or “Users”). The purpose of these Terms is to ensure transparent operation of the Service, protect the legitimate rights and interests of both parties, and promote a stable and trustworthy service environment. The Terms also describe procedures related to account creation, service usage, digital reward policies, withdrawal procedures, compliance with applicable laws, and dispute resolution mechanisms. *** ### **Article 2 (Effectiveness and Amendments of the Terms)** These Terms shall become effective when posted within the Service interface, application, website, or otherwise communicated to Members via email or other electronic means. The Company reserves the right to modify, amend, or update these Terms at any time in order to reflect changes in: * applicable laws or regulations, * technological developments, * operational policies, * economic conditions affecting the Service. Any revised Terms will be announced within the Service at least: * **7 days prior to the effective date**, or * **30 days prior to the effective date if the amendment materially disadvantages Members.** Members who do not agree with the revised Terms must discontinue use of the Service and terminate their account. Continued use of the Service after the effective date of revised Terms shall constitute **full acceptance and binding agreement** to the updated Terms. *** ### **Article 3 (Supplementary Policies and Governing Rules)** Matters not explicitly addressed in these Terms shall be governed by: * the Company’s **operational policies** (including Reward Policies and Community Guidelines), * the **Privacy Policy**, * applicable laws and regulations of the **Republic of Korea**, and * generally accepted commercial practices. For services provided by **third-party missions or integrations**, the respective third-party terms and policies may apply and take precedence where relevant. *** ### **Article 4 (Definitions)** For the purposes of these Terms, the following definitions apply: #### **1. “Poremi Service”** The integrated platform operated by Lazy Surfers Co., Ltd., including mobile applications, web services, reward-based engagement systems, digital asset functionality, referral systems, advertising interfaces, and integrated missions. #### **2. “Member”** A natural person or legal entity who has agreed to these Terms and completed the account registration process through authentication procedures designated by the Company. #### **3. “Poremi Points” (the “Points”)** A virtual data unit recorded within the Service that may be granted to Members for certain activities such as advertisement viewing, task completion, or referrals. Points: * do **not constitute legal tender** * do **not represent stored monetary value** * exist solely as **internal service data maintained by the platform** #### **4. “USDT”** A blockchain-based stablecoin (Tether) operating on networks such as Ethereum or Binance Smart Chain that may be used for withdrawal conversion from Points under certain conditions. #### **5. “Withdrawal Fee”** A designated reserve mechanism whereby a portion of Points may be withheld from withdrawal requests to cover identity verification costs, regulatory compliance expenses, and platform maintenance costs. #### **6. “Fraudulent Activity”** Any prohibited or abnormal use of the Service including automated exploitation, multi-account abuse, manipulation of reward systems, or other actions identified by the Company as violations of Article 16. *** ## **Chapter 2. Account Registration and Management** ### **Article 5 (Service Registration and Formation of Agreement)** The Service agreement between the Member and the Company is formed when a user: 1. agrees to these Terms and the Privacy Policy, and 2. completes the registration process through supported authentication methods such as **Google Sign-In or Apple Sign-In**. Members agree to provide **accurate, complete, and truthful information** during registration. Any liability arising from the use of false information, impersonation, or unauthorized use of another person's identity shall be borne entirely by the Member. *** ### **Article 6 (Refusal or Suspension of Registration)** The Company reserves the right to refuse or terminate registration in cases including, but not limited to: * prior account termination due to violation of Terms * impersonation or misuse of another person’s identity * attempts to access the Service from restricted jurisdictions * use of the Service for unlawful or unethical purposes * attempts to exploit the Service for commercial gain not authorized by the Company. *** ### **Article 7 (Account Security and Device Identification)** Members are solely responsible for maintaining the security of their account credentials and associated login methods. Members may **not transfer, sell, lend, or share their accounts** with any third party. The Company shall not be responsible for damages arising from: * account sharing * compromised login credentials * negligent management of authentication methods. To prevent abuse and ensure system integrity, the Company may collect **device identifiers** such as: * ADID * IDFA * device fingerprints. Members acknowledge and consent to such collection. *** ## **Chapter 3. Geographic Restrictions and Compliance** ### **Article 8 (Restricted Jurisdictions)** To comply with global AML/CFT regulations and international sanctions regimes, the Service **may not be accessed or used** from certain jurisdictions. Restricted regions include but are not limited to: Cuba\ Iran\ North Korea\ Russia\ Syria\ Crimea\ Donetsk\ Luhansk\ Belarus\ Myanmar\ Central African Republic\ Congo\ Ethiopia\ Iraq\ Lebanon\ Libya\ Sudan\ Venezuela\ Yemen\ Zimbabwe and any other jurisdictions blocked by the Company’s compliance systems. *** ### **Article 9 (Prohibition of Circumvention)** Users may not attempt to bypass geographic restrictions through: * VPN services * proxy servers * IP masking software * location spoofing tools. Accounts identified as attempting circumvention may be **permanently terminated**, and all Points may be **confiscated without prior notice**. *** ## **Chapter 4. Points Policy** ### **Article 10 (Adjustment of Point Value)** The Company reserves the **absolute and unilateral right** to modify the indicative conversion ratio of Points. The reference value of: **1,000 Points = 1 USDT** is **non-binding** and may be adjusted without prior notice due to: * market conditions * operational sustainability * technical considerations. Such adjustments may apply **retroactively to existing Point balances**. Members waive any right to claim damages resulting from such adjustments. *** ### **Article 11 (Expiration of Points)** Points remain valid for **one (1) year** from the Member’s last login date. Accounts inactive for more than one year may have all Points **automatically forfeited without notice**. *** ### **Article 12 (Erroneous Point Allocation)** If Points are credited due to technical errors, system bugs, or malfunctions, the Company reserves the right to: * correct balances * remove erroneous Points * reverse transactions. Members acknowledge that they have **no ownership rights** over mistakenly allocated Points. *** ## **Chapter 5. Withdrawal and Identity Verification** ### **Article 13 (Withdrawal Conditions)** Members may request withdrawals when their balance reaches **at least 1,000 Points**. Withdrawals are executed in **USDT through blockchain networks**. Network fees or gas fees may be deducted. *** ### **Article 14 (Withdrawal Fee Policy)** A **5% withdrawal fee** will be applied to each withdrawal request. After successful identity verification or under Premium Membership guidelines, this withdrawal fee requirement may be waived according to Company policy. Previously deducted Points **are non-refundable**. *** ### **Article 15 (Identity Verification Requirements)** Members exceeding **40,000 Points in cumulative withdrawal requests** may be required to complete KYC verification through a third-party provider such as **Sumsub**. Failure to complete verification may result in **permanent withdrawal restriction**. *** ## **Chapter 6. Anti-Fraud Policy** ### **Article 16 (Fraudulent Activities)** Prohibited activities include: * automated bots or macros * emulator environments * virtual devices * rooted or jailbroken devices * multi-account abuse * advertising fraud. *** ### **Article 17 (Referral Abuse)** Referral rewards are granted only when referred users complete **at least 10 advertisement views**. Fraudulent referrals may result in **confiscation of all Points**. *** ### **Article 18 (Sanctions)** Sanctions may include: * warnings * temporary suspension * permanent account termination. Severe violations may result in **immediate permanent ban without prior notice**. *** ## **Chapter 7. Paid Services** ### **Article 20 (Premium Membership)** The Company may offer paid services including: * advertisement removal * increased reward multipliers. Payments are processed through **Apple App Store or Google Play Store**. *** ### **Article 21 (Refund Policy)** Refunds are governed by the policies of **Apple and Google**. Digital content with immediate benefit activation may **not be eligible for withdrawal**. *** ## **Chapter 8. Limitation of Liability** ### **Article 22 (Service Availability Disclaimer)** THE SERVICE IS PROVIDED **“AS IS” AND “AS AVAILABLE.”** The Company does not guarantee uninterrupted availability. *** ### **Article 23 (User Responsibility)** Loss of assets caused by: * incorrect wallet addresses * credential leaks * compromised accounts shall be the sole responsibility of the Member. *** ### **Article 24 (Market Risk)** The Company is not responsible for losses resulting from: * stablecoin de-pegging * exchange delisting * blockchain network failures. *** ### **Article 25 (Third-Party Services)** The Company does not guarantee the reliability of advertisers or third-party missions and content. *** ## **Chapter 9. Intellectual Property** ### **Article 26 (Ownership)** All intellectual property rights related to the Service belong to **Lazy Surfers Co., Ltd.** Unauthorized use is strictly prohibited. *** ### **Article 27 (User Content)** Members are responsible for any content they post. The Company may remove content when legally required. *** ## **Chapter 10. Tax and Legal Disclaimer** ### **Article 28 (Tax Responsibility)** Members are responsible for complying with applicable tax obligations. *** ### **Article 29 (No Investment Advice)** The Service does not constitute financial or investment advice. *** ## **Chapter 11. Liability and Legal Rights** ### **Article 30 (Limitation of Damages)** Liability shall not exceed the amount paid by the Member within the previous **six months**. *** ### **Article 31 (Class Action Waiver)** Members agree to resolve disputes **individually** and waive the right to participate in class actions. *** ### **Article 32 (GDPR Compliance)** The Company complies with **GDPR** for EEA users. *** ## **Chapter 12. Governing Law** ### **Article 33 (Applicable Law)** These Terms are governed by the laws of the **Republic of Korea**. *** ### **Article 34 (Dispute Resolution)** Disputes shall be resolved in the **Seoul Eastern District Court**. International users may be subject to **SIAC arbitration**. *** ### **Article 35 (Force Majeure)** The Company is not liable for events beyond its control including: * natural disasters * cyberattacks * war * government regulation. *** ### **Article 36 (Severability)** If any provision is held invalid, the remaining provisions remain effective.
